Infineon Technologies to Proceed with Public Offering of up to 60 Million Shares

Munich, Germany. Infineon Technologies AG (FSE/NYSE: IFX) today announced that it intends to proceed with a public offering of up to 60 million newly-issued shares, including approximately 7.8 million shares included in the underwriters over-allotment option. The shares will be issued by Infineon from its authorized capital in a capital increase without pre-emptive rights. No shares will be offered by any of Infineon s existing shareholders.

The offering will take the form of simultaneous public offerings in Germany and the United States and a private placement to international institutional investors in the rest of the world. Infineon s shares are listed on the Frankfurt Stock Exchange and its ADSs (American Depositary Shares) are listed on the New York Stock Exchange.

The company intends to use the net proceeds resulting from the offering to fund future capital expenditures and potential acquisitions, to repay short-term debt, and for working capital and other corporate purposes.

It is currently anticipated that the sale of shares in the offering will take place on or about Friday, July 13. Goldman Sachs is the Global Coordinator for the Offering. A copy of the prospectus can be obtained from Goldman Sachs.
