Anaren takes a stake in Celeritek

Anaren Microwave has bought a minority share of Celeritek and now seeks to merge.
Anaren Microwave, a manufacturer of microwave signal distribution network and components, has bought a 6.35% stake in GaAs component maker Celeritek. A total of 777 300 shares of common stock worth $6.6 million were bought from the open market, and Anaren is now hoping to acquire Celeritek in full.

Anaren is a customer of Celeritek, and this latest move follows several merger proposals from Lawrence Sala, CEO of Anaren to Tamer Husseini, Celeritek s CEO.

In a letter from Sala to Husseini published on Anaren s website, Sala writes: "[With] our passive design expertise and experience of active device performance…we strongly believe that we can develop multi-function modules integrating Celeritek s active devices with Anaren s multi-layer PTFE and ceramic technologies."

Sala says that Anaren is keen to combine its products with those of Celeritek to target wireless subscriber applications and also build active array antennas for space, defense and commercial applications.

"We are enthusiastic about the prospects of a merger between Celeritek and Anaren and believe that both employees and shareholders of Celeritek would benefit from…the combined entity," he added.

Celeritek says it is going to consider the proposal at its next board meeting in August.
