Nippon Sanso to merge with Taiyo Toyo Sanso

Two Japanese industrial gas companies, Nippon Sanso Corporation and Taiyo Toyo Sanso, have announced plans to merge later this year.
Nippon Sanso Corporation is to merge on an equal footing with Taiyo Toyo Sanso, to form a new company, Nissan Taiyo Corporation. The merger is expected to take effect on October 1, 2004, subject to approval by the shareholders of both companies and the relevant public authorities.

Nippon Sanso is a leading manufacturer of MOCVD systems, and has delivered more than 450 machines to R&D and production facilities. The company also supplies specialty gases, cylinder cabinets, abatement systems, piping, and safety control management.

Also, Nippon Sanso owns Matheson Tri-Gas, a US-based single-source provider of specialty gases, bulk gases, gas handling equipment, and high performance purification systems.

The current chairman of Taiyo Toyo, Konosuke Ose, will assume the position of chairman of the new company, while Hiroshi Taguchi, current president and CEO of Nippon Sanso Corporation, will become president of Nissan Taiyo.

“Nippon Sanso has tremendous synergies with Taiyo Toyo, from both a technology and market standpoint, and this can be seen as an ideal merger,” said Taguchi. “We will strengthen our company through this merger and generate the cash flow to make capital and R&D investments in our core business areas, such as electronics and gas plants.”

Bill Kroll, president and CEO of Matheson Tri Gas, said; “This merger will create a new entity that will help us compete much more effectively on the global stage. Matheson Tri Gas is Nippon Sanso s largest subsidiary and we will play a significant role in the …new company.”
