TRW and Endgate Complete Merger Forming EndWave Corporation

EndWave Appoints TRW General Manager as COO, Hires New CFO and Forms New Board of Directors to Set the Stage for Company s Next Phase of Growth

Sunnyvale, CA. Endgate Corp., a leading global provider of "last-mile" broadband engines for powering e-business gateways, today announced the completion of its merger with TRW Milliwave Inc., formerly a wholly-owned subsidiary of TRW Inc. (NYSE: TRW) to create EndWave Corporation (announced March 1, 2000).

EndWave will design and manufacture a complete portfolio of broadband wireless access products, including specialized antennas, transceivers and Outdoor Units (ODUs)--units that transmit and receive radio signals and serve as the "engines" of broadband wireless Internet access and cellular backhaul systems.

Concurrent with the merger, the EndWave management staff has been expanded and strengthened with the addition of Bruce Margetson as chief financial officer and Don Dodson as chief operating officer. Bruce Margetson, previously controller of the Enterprise WAN and Voice Business Units for Cisco Systems (Nasdaq: CSCO), brings extensive experience in finance and business planning for leading companies such as Cisco and Silicon Graphics Inc. (NYSE: SGI). Don Dodson, the former vice president and general manager of TRW Milliwave, will continue to oversee product development and manufacturing operations at the three new EndWave facilities.

The Board of Directors of EndWave will include Edward Keible, president and CEO of EndWave and former president and CEO of Endgate Corporation; Tim Hannemann, executive vice president and general manager of TRW s Space and Electronics Group; Robert Pavey, general partner of Morgenthaler Ventures; Wes Bush, vice president and deputy general manager, TRW Ventures; and Esfandiar Lohrasbpour, managing director of Invesco Private Capital. The new board will help guide the company s vision and strategy as it transitions the combined strengths of Endgate and TRW Milliwave into a single global, high-volume commercial supplier of a full range of broadband wireless access products.

Hannemann, executive vice president and general manager of the TRW Space & Electronics Group. "We believe EndWave is strongly positioned to be a leader in this exciting industry." EndWave is a global provider of broadband wireless access equipment with over 380 employees and a customer base that includes industry leaders such as Nokia, Hughes Network Systems and other major broadband system developers. The broadband wireless equipment market is projected to reach $15 billion over the next few years, according to The Strategis Group. Broadband wireless technology is expanding rapidly because it is relatively inexpensive and quick to install and provides data rates up to 155 million bits per second -- more than 2,700 times faster than the modems used in today s personal computers.

EndWave is owned approximately 50 percent by Endgate s former stockholders and 50 percent by TRW. In connection with the merger, EndWave received significant new investment from both TRW and Endgate investors. This cash will be used to support EndWave s expansion of new product development and manufacturing, in response to growing customer demand. The expansion includes the continued ramp-up and build-out of manufacturing facilities in Santa Clara and Diamond Springs, Calif. EndWave products will include modules, transceivers, antennas and OutDoor Units (ODUs) (the complete outdoor portion of a millimeterwave radio), which to date have been produced by Endgate and TRW Milliwave, as well as new products to be developed by EndWave. EndWave will be headquartered in Sunnyvale, Calif., and will maintain design and manufacturing facilities in Sunnyvale, Santa Clara and Diamond Springs, Calif.

About Broadband Wireless Access Technology

Although communications carriers and Internet Service Providers have invested heavily in recent years to enhance bandwidth capabilities in response to the growing use of multimedia and the Internet, businesses ability to take advantage of high bandwidth has been constrained by the "last-mile" problem. This statement refers to the inability to send outbound data and communications from the business to the local switching office or Internet access point at broadband frequencies. Current technologies based upon existing wire line infrastructure, such as DSL and T-1, are limited to a few hundred kilobits up to a few megabits per second. Fiber optic technology provides virtually unlimited bandwidth but is expensive, costing up to $600,000 per kilometer and taking months or years to install. Broadband wireless technology, on the other hand, is relatively inexpensive, quick to install, and today provides data rates up to 155 megabits per second (OC-3). Endgate has pioneered point-to-multipoint technology, making these systems even more cost effective by allowing the relatively expensive base-station transceivers and antennas to be shared by many customer units. This technology is also valuable for cellular backhaul systems, providing connectivity from the central switching point to the cellular antenna farms, especially as cellular carriers implement "3G" systems, providing Internet access to cellular customers.
