RSoft and Network Design Tools Agree to Merge

New Company Set to Capture Market Share in Photonics and Telecommunications Design Software Markets

Ossining, NY and Eatontown, NJ. RSoft, Inc. and Network Design Tools, Inc. (NDTI) today announced an agreement to merge, creating a company that combines RSoft s award-winning suite of physical-layer design tools with innovative network-layer planning and optimization tools from NDTI, a Telcordia Technologies spin-out. The new company will supply researchers, manufacturers, systems integrators, and service providers with POMS (performance, optimization, modeling, and simulation) software that addresses design challenges from the component to the network level.

"This merger puts us in a unique position to become the dominant player in the POMS marketplace," said Gail Lalk, president of NDTI. "Our customers will benefit from our un-paralleled technical understanding of how components and networks behave in the real world."

RSoft s simulation software solutions and consulting services help companies in the photonics and telecommunications industries design next-generation products more efficiently and accurately, reducing the time it takes from idea inception to market availability. NDTI s family of tools allows component and equipment manufacturers to design products that achieve optimal network performance and compatibility, and gives service providers the ability to evaluate the most cost-effective and technically sound solution for increasing network capacity.

"The combination of NDTI and RSoft expands the breadth and depth of product offerings and addressable market opportunities for both companies," added LuAnn Scarmozzino, president of RSoft. Gail Lalk, NDTI s president, has been named the acting CEO of the combined company and will retain her position as the president of the network-layer products division. LuAnn Scarmozzino will continue as president of the physical-layer products division, and Dr. Robert Scarmozzino, currently CTO of RSoft, will serve as CTO for the combined entity.

The new entity will operate as a privately held company, with continued investment support from Pequot Capital Private Equity http://www.pequotcap.com. Financial terms were not disclosed. The merged company, to be named at a later date, will continue to develop its physical layer simulation solutions in Ossining, NY under the RSoft brand, and its network products in Eatontown, NJ, under the NDTI brand.
