RSoft and NDTI complete merger, new company is named RSoft Design Group

Ossining, NY and Eatontown, NJ. Creating the most comprehensive suite of design and business analysis software solutions in the photonics and telecommunications markets, RSoft, Inc. and Network Design Tools, Inc. (NDTI) today announced the completion of their merger. The newly merged entity, known as RSoft Design Group, is the only company that offers a full range of simulation and planning software and services that span the entire component to network-level hierarchy.

RSoft, Inc. and NDTI announced their agreement to merge in mid-November and have been effectively integrating their products, staff, and resources over the past two months. As a result of the smooth transition, RSoft Design Group expects to introduce a number of new products and upgrades to their existing award-winning portfolio in the first and second quarters of this year.

"We re moving fast to leverage our complementary technical expertise, which ranges from the physics of component design through to the business implications of planning wired and wireless networks," said Gail Lalk, acting CEO and Network-Layer Division president of the newly merged RSoft Design Group. "The value of this combination will be reflected in a series of new product announcements in the coming months."

In selecting the new name, the newly merged company chose to build on the current brand equity established by RSoft over the past ten years. "As the premier provider of photonic modeling solutions at the physical-level, it made perfect sense to take advantage of RSoft s market-leading position," added LuAnn Scarmozzino, president of the Physical-Layer Division at RSoft Design Group.

RSoft Design Group will operate as a privately held company, with continued investment support from Pequot Capital Private Equity (www.pequotcap.com). Financial terms were not disclosed.
